BY UTILIZING THE WEBSITE LOCATED AT ThetaEdge.ai OR ANY OTHER MIRROR DOMAINS CONNECTED TO THE APP ("WEBSITE"), YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND CONDITIONS AND THAT YOU AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT, YOU ARE NOT AN AUTHORIZED USER OF THESE SERVICES AND YOU SHOULD NOT USE THIS WEBSITE. 1. Acceptance of Terms

By registering for, accessing, or using the Thetix Service, you accept and agree to be bound by these Terms. You may use the Service only in compliance with these Terms and all applicable local, state, national, and international laws, rules, and regulations.

You represent and warrant that you are legally permitted to use the Service under all applicable laws and regulations, that you are not subject to any restriction, prohibition, sanction, or other legal incapacity that would bar your access or use, and that your use of the Service does not and will not violate the rights of any third party.

2. The Service

ThetaEdge provides a trading intelligence and analytics service designed to help users analyze their own investment portfolios. The Service offers research tools, data visualization, analytical insights, and AI-assisted explanations intended to support user understanding of market strategies.

ThetaEdge does not provide investment advice, does not exercise trading discretion and executes only user-initiated, user-confirmed orders, does not manage assets, and does not act as a broker, dealer, or investment adviser.

Brokerage Connections and Trade Execution

ThetaEdge may allow users to connect third-party brokerage accounts for the limited purpose of portfolio analysis and data retrieval.

Brokerage connections are read-only unless explicitly stated otherwise.
Thetix executes only orders that the user has explicitly reviewed and confirmed on a per-transaction basis. Thetix does not exercise discretion over any account and does not place trades without the user's confirmation.
ThetaEdge does not engage in automated trading, discretionary trading, or algorithmic execution.

Any trade action, including order placement, modification, or execution, must be explicitly reviewed, approved, and confirmed by the user before execution on a per-transaction basis.

All trading decisions remain solely the responsibility of the user.

3. Registration and Account

To access certain features of the Service, you must register and create an account. You agree to:

provide accurate, current, and complete information during the registration process,
(if requested) promptly update such information to keep it accurate, current, and complete, and
maintain the confidentiality of your login credentials and all activity conducted under your account.

You are solely responsible for any activity conducted through your account, whether or not authorized by you.

4. Beta Access, Free Use, and Future Pricing

Beta Status

Thetix is currently offered as a free, open Beta (the "Beta"). During the Beta period, access to the Service is provided at no cost.

You acknowledge and agree that:

The Beta is provided for testing, feedback, and evaluation purposes only
The Service may contain bugs, errors, inaccuracies, or interruptions
Features, functionality, data availability, and performance may change or be discontinued at any time
ThetaEdge makes no guarantees regarding uptime, accuracy, or completeness during the Beta

Use of the Beta is voluntary and at your own risk.

No Payment Required During Beta

There are no subscription fees, billing obligations, or payment requirements during the Beta period.

Participation in the Beta does not create any obligation to purchase or subscribe to Thetix in the future.

Future Paid Plans

ThetaEdge may introduce paid subscription plans in the future.

If and when paid plans are introduced:

Users will be notified in advance via email and/or in-product notice
No user will be charged without explicit, affirmative consent
Continued access to paid features will require acceptance of applicable pricing and billing terms

Users who do not wish to transition to a paid plan will be able to discontinue use of the Service prior to any charges.

5. Use of the Service

ThetaEdge grants you a limited, non-exclusive, revocable license to access and make personal, non-commercial use of the Service.

You may not use the Service if you are located in a jurisdiction where access or use would be illegal or restricted by law.

You further agree not to:

make commercial use of the Service without written consent,
copy, distribute, or modify content except as expressly permitted,
attempt to interfere with, disable, or disrupt the Service or its infrastructure,
use any automated tools (robots, spiders, scraping) without authorization, or
introduce malware or harmful code.

Your use of the Service is also subject to ThetaEdge’s Privacy Policy available at the website. ThetaEdge will collect and process personal information in accordance with that Privacy Policy. ThetaEdge does not sell user data to third parties.

By using the Service you represent and warrant that you are not located in, under the control of, or a resident of any country or jurisdiction subject to sanctions or embargoes administered by the U.S. or other applicable authorities, and that you are not on any restricted parties list.

6. Intellectual Property

All content, software, technology, and documentation related to the Service are the exclusive property of ThetaEdge or its licensors and are protected under applicable intellectual property laws.

Users retain ownership of any content they upload but grant ThetaEdge a non-exclusive, worldwide, royalty-free license to host, use, and display such content solely for the purpose of operating and improving the Service.

The algorithms, models, analytical methods, data structures, and proprietary strategies used within the Service constitute valuable trade secrets and confidential information of ThetaEdge. Users are granted no rights or licenses with respect to such intellectual property beyond the limited right to use the Service for its intended purpose. Reverse engineering, decompilation, or derivation of the algorithms or their outputs for competitive purposes is strictly prohibited.

7. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied.

ThetaEdge provides general, educational information only. We do not provide investment, legal, tax, or accounting advice. Nothing on the Service constitutes a recommendation to buy, sell, or hold any security.

ThetaEdge may access user brokerage account data through secure integrations with third-party brokers in order to provide analytics, insights, etc. ThetaEdge does not hold, transfer, or safeguard user funds or securities, and does not exercise discretionary trading authority. Every trade is initiated and confirmed by the user, and any order the user confirms is routed to their chosen brokerage for execution. All custody of assets remains solely with the broker.

Past performance does not guarantee future results.

ThetaEdge makes no representation or warranty regarding the accuracy, completeness, timeliness, or reliability of any information provided through the Service, or that the Service will be uninterrupted, secure, or error-free.

This section should be read together with the ThetaEdge Disclaimer, which is incorporated by reference into these Terms. In the event of a conflict, the more restrictive provision shall apply.

8. Limitation of Liability

To the maximum extent permitted by law, ThetaEdge and its affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages.

In no event shall ThetaEdge’s aggregate liability exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

Exclusions: ThetaEdge specifically disclaims liability for:

any loss of profits, trading losses, or investment losses,
loss of business, goodwill, or reputation,
loss or corruption of data, or
damages arising from unauthorized access to or use of your account.

ThetaEdge shall not be responsible for delays, interruptions, or failures caused by events beyond its reasonable control, including natural disasters, power outages, internet or telecommunication failures, third-party service disruptions, or regulatory changes.

9. Indemnification

You agree to indemnify, defend, and hold harmless ThetaEdge, its affiliates, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service, violation of these Terms, or infringement of any rights of a third party.

10. Termination

ThetaEdge may suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms, if your conduct is harmful to other users, ThetaEdge, or third parties, or if necessary to comply with law or regulatory requests. In all cases of termination, ThetaEdge reserves the right to retain any amounts paid prior to termination, and you will not be entitled to any refund or credit unless required by applicable law.

Termination does not limit ThetaEdge’s right to pursue any other remedies available under law or equity.

11. Changes to the Terms

ThetaEdge reserves the right to modify these Terms at any time. Material changes will be communicated via email and/or posted on the Website.

12. Governing Law

These Terms will be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

13. Dispute Resolution / Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved by binding arbitration under the rules of the American Arbitration Association. Arbitration shall be conducted in English and seated in Delaware, United States, unless otherwise agreed by the parties.

You waive the right to participate in a class action or class-wide arbitration.

14. Assignment

ThetaEdge may assign or transfer its rights and obligations under these Terms, in whole or in part, without restriction. Users may not assign their rights without prior written consent.

15. Severability / Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with the Privacy Policy and Disclaimer, constitute the entire agreement between you and ThetaEdge regarding the Service.

16. Email Communication

By creating an account, you consent to receiving electronic communications from ThetaEdge, which satisfy any legal requirements that such communications be in writing.

You may opt out of non-essential communications, but some service notifications (such as password resets, billing notices, or legal updates), as deemed by ThetaEdge, cannot be disabled.
